Should I Trademark My Business Name?

Forming an LLC does not give you rights to your business name. Here is what actually does, and when it is worth filing.

Most business owners assume that once they form an LLC or register a fictitious name with the state, their business name is protected. It is not. Forming an entity in Florida tells the state that a business exists and who owns it. It does not give you the exclusive right to use that name in commerce, and it does not stop someone else from operating under a confusingly similar name in another state, or even in Florida under a different entity type.

What actually protects a name

A trademark is what protects the words, logo, or slogan you use to identify your goods or services in the marketplace. It is a federal right, granted through the United States Patent and Trademark Office, and it exists separately from anything you filed with the Florida Division of Corporations. You can have a perfectly valid LLC and zero trademark protection for the name that LLC does business under.

When it is worth filing

Not every name needs a federal registration on day one. Trademarking makes the most sense once a name is doing real work for you: you have customers associating that name with your product or service, you are investing in marketing under it, or you are expanding into new markets or product lines where a competitor using something similar would actually cost you business. The earlier you file relative to that growth, the more protection you get for less money, because the alternative is finding out someone else owns the name after you have already built a following around it.

Start with a clearance search

This is the step that tells you if a name is worth building a brand on. Skipping it is how businesses end up rebranding two years in, after the logo, the packaging, and the domain are already paid for.
